The immediate past Managing Director of SIC Insurance Company Limited, Ms. Hollistar Duah-Yentumi, has filed a lawsuit against the company and its newly appointed MD, James Agyenim-Boateng, challenging her removal from office.

Her legal action follows the announcement by President John Dramani Mahama on January 27, naming Mr. Agyenim-Boateng as her successor. However, Ms. Duah-Yentumi has rejected this decision, arguing in a February 4 lawsuit that her appointment was contractually secured until January 1, 2028.

Legal Claims

In her lawsuit, Ms. Duah-Yentumi asserts:

“Under and by virtue of the agreement, the Plaintiff’s tenure as the Managing Director is for a period of four years, thus expiring on the 1st day of January 2028 or soon thereafter as may be agreed upon by the Board of Directors of the 1st Defendant and the Plaintiff.”

She further contends that her employment terms are strictly governed by the signed employment agreement with the company.

Additionally, she emphasizes that her removal violates contractual procedures, stating:

“Regarding the termination of the Plaintiff’s employment, Plaintiff states that under and by virtue of clause 7 of the agreement, the Plaintiff’s employment may only be terminated by the board of directors of the 1st Defendant or by all the shareholders of the company acting at an Annual General Meeting for the said purpose.”

Court Demands

Ms. Duah-Yentumi is requesting the High Court to:

1. Declare her dismissal unlawful and in breach of her employment contract.

2. Rule that the appointment of Mr. Agyenim-Boateng as MD is invalid.

3. Order full payment of her salary and benefits for the remainder of her contract term.

The legal battle now awaits the court’s decision, as the case raises significant questions about corporate governance and executive appointments within SIC Insurance.
